Terms and Conditions

1. General Terms

• These terms govern use of our website & mobile app (the “Platform”). They define binding terms on which you access, register or use our services. Applies to all users including guests.
• By using our Platforms in any manner, you confirm that you accept these terms and agree to be bound by them.
• Breach of any term may result in restriction, suspension or withdrawal of your rights to use the services.
• We may amend these terms at any time by amending this page.
• If you do not agree, you must not access the Platform or use the services.

2. Services

• Platform allows users to request a “Decker” to order or pick up food from favourite nearby restaurants (Services).
• Contains a variety of restaurants to order from.
• Kpangba may not be affiliated/partnered with these restaurants. We are only responsible for purchasing/ordering food on your behalf.
• We operate the Platform and enable the relationship – we do not possess any food offered for sale. Kpangba is not a subsidiary of any listed restaurant.
• We have no control over existence, quality, safety of food advertised. We do not guarantee truth/accuracy of restaurants' offers.
• Unlike our delivery services, we cannot warrant that meals will be of satisfactory quality – any warranties are disclaimed to extent permitted by law.

3. Accessing our Platform & Services

• We do not guarantee that Platform or Services will always be available, uninterrupted or fault free. Not liable if unavailable.
• No guarantee that content is free from errors or omissions.
• You are responsible for arrangements to access Platform and for ensuring all who access via your profile comply with terms.

4. Membership & Registration

• Services only for individuals 18+ who can form legally binding contracts. You represent you are at least 18.
• Users must create an account per clause 4.3.
• Account requires full name, email, telephone, delivery address. OTP provided upon signup, you must tick agreement box.
• You are solely responsible for keeping login details confidential. Contact support@Kpangba.com immediately if theft/unauthorized use.
• Once account created, you can select restaurants, order meals and request a Kpangba Champion for delivery.
• We may require password change if we suspect security breach.
• As a user, you:
• represent all account information is accurate, honest and not misleading;
• commit to updating account information as it changes;
• accept sole responsibility for adverse consequences due to inaccuracy.
• The information submitted constitutes proof of identity. We may verify accuracy and ask for additional documentation. 4.9 You may terminate account anytime.

5. Payment

• All payments processed by third-party payment processor.
• Payments can be made via: (a) closed-loop electronic wallet (top-up via available channels); (b) debit card; (c) bank transfer; (d) other methods provided by partners.
• The payment processor is solely responsible for all payment transactions.
• Prices displayed in Naira, include applicable taxes.
• Delivery fee shown at checkout.
• Total price due when order is placed.
• By creating an account you agree to these payment terms.

6. Intellectual Property

• We and our partners own all IP rights on the Platform and materials. You may only access for personal use. No reproduction, distribution without license.
• Any disassembling, decryption, reverse engineering etc. is prohibited and may result in legal action.
• If you believe content infringes your copyright, contact us.
• Words describing food menus were provided by users; Kpangba not liable for inappropriate/inaccurate food names. Contact us to remedy.

7. No Reliance & 8. Limitation of Liability

Content for general information only, not advice. We make no representation content is complete or up-to-date – reliance at your own risk.

8. Limitation of Liability

• Nothing excludes liability for personal injury from negligence or fraudulent misrepresentation.
• To extent permitted, we exclude all implied warranties.
• No responsibility for content of linked websites.
• Platform for domestic use only – no liability for loss of profit or business opportunity.
• Not liable for indirect, punitive, incidental damages arising from inability to use Services.
• Not liable for unauthorized use/tampering of your account.
• Not liable for delays, suspension, virus damage, etc.
• We will not be liable for any loss or damage even if foreseeable.

9. Indemnification

You agree to indemnify Kpangba from any claim due to your use/misuse or breach of terms.

10. Term & Termination

Term begins when you start using services and continues until terminated by you (closing account) or us.

11. Restricted Activities

• Platform must be used only for lawful purposes. You must not use in unauthorized way.
• Specifically, not to breach law, for fraud, provide false ID, modify or reverse engineer software.

12. Electronic Communication

• By accessing services, you consent to receive electronic communications from us (emails, in-app).
• You agree to use of electronic signatures, contracts, records and waive any requirement for original signature / non-electronic delivery.

13. Severability

If any term is invalid, it shall be severed, remaining terms continue in full effect.

14. Personal Data

We collect and process personal data. See our Privacy Policy. We do not share your details with third parties except payment provider.

15. Sanctions of Breaches

• In event of fraud/breach, we may suspend/terminate access or alert authorities.
• Suspension effective on date we send communication; account deleted without further notice.

16. Placing Orders

• Images are for illustration; we try to be accurate.
• Order page in English; you may review before confirmation.
• To place order: select restaurant/meal from homepage.
• If restaurant not listed, you may request, but we are not bound to list.
• Order summary at checkout. Confirmation = offer to purchase. Cancellation only before restaurant acceptance.
• Platform includes payment history tool.

17. Delivery of your order

• Delivery executed between you and Kpangba.
• You commit to taking delivery. If you don't receive all items, contact customer service immediately.
• You cannot ask refund for orders you failed to take delivery.
• Responsible to confirm accurate delivery details.
• In case of inaccurate/mixed orders, contact Kpangba for return – item must remain untampered.

18. Complaints

Submit complaints via chat box on mobile app.

19. Disclaimer

Services provided “AS IS” and “AS AVAILABLE”. Kpangba disclaims all representations & warranties not expressly set out. No representation of relationship with restaurants. Entire risk remains with you.

20. Promotional Codes

• Kpangba may create Promo Codes for discounts/benefits, subject to additional terms.
• You agree Promo Codes:
  • must be used lawfully and for intended purpose;
  • may not be duplicated, sold, transferred, or publicized;
  • may be disabled anytime without liability;
  • only used pursuant to specific terms;
  • not valid for cash; may expire.
• Kpangba reserves right to withhold/ deduct benefits obtained through fraudulent/illegal use of Promo Codes.

21. Governing Law

These terms are governed by Nigerian law. Disputes submitted to exclusive jurisdiction of Nigerian courts.
